1. Application

1.1 These Terms of Trade (“Terms”) apply to all washing and related services (“Services”) provided by Frogs House Washing Limited (“we, us, our”).
1.2 If there’s any inconsistency between these Terms and another document, these Terms will take priority.

2. Quotes

2.1 These Terms apply to every quote we provide.
2.2 Quotes given online, by phone, or email are based on the details you provide. If, when we arrive at your property (“the Premises”), we find that the information you gave was incomplete or incorrect, we may charge extra for the additional Services required.
2.3 Any changes in measurements, quantities, or specifications after a quote has been given will be treated as a variation and charged separately.

3. Authorisation

3.1 We are entitled to rely on the authority of anyone placing orders on your behalf.
3.2 You are responsible for obtaining any necessary approvals, consents, or permits required for us to carry out the Services.

4. Our Services

4.1 Once you accept a quote, we will provide the Services at the address specified. If you provide the wrong address, you may still be charged.
4.2 We only provide the Services listed in our quote.
4.3 Unless clearly stated, our Services do not include:

Cleaning under gutter guards

Removal or replacement of gutter guards
4.4 We will do our best to provide the Services on the scheduled date. However, we may delay or cancel if:

Weather or site conditions are unsafe or unsuitable

Health and Safety requirements prevent us from working

We cannot gain sufficient access to the Premises

You have not met your obligations under clauses 5.2 or 5.3

5. Your Responsibilities

5.1 You must follow all instructions and aftercare advice we give.
5.2 You agree to:

Tell us about any sensitive areas we need to avoid (e.g., electrical zones, leak-prone areas)

Move bins, pallets, or other items away from walls if you want us to wash behind them

Ensure all water tank inlets are disconnected before we start work

Accept that while we take care to avoid water ingress, plant damage, or roof wear, some damage may be unavoidable. We are not liable for such damage.
5.3 You must provide safe and sufficient access to the Premises.
5.4 We are not liable for losses or damage caused by your failure to meet these obligations.
5.5 If we cannot complete the work due to your actions (or inaction), you remain responsible for payment in full.

6. Limitation of Liability

6.1 Our liability for any loss, damage, or injury connected to the Services is limited to the total price you paid us for those Services.
6.2 We are not liable for any indirect or consequential loss.
6.3 All claims must be made in writing within one month of you becoming aware of the issue.

7. Indemnity

7.1 You agree to fully indemnify us for any loss, damage, costs, or expenses (including legal or debt collection fees) resulting from your breach of these Terms.

8. Price

8.1 All quotes are exclusive of GST unless otherwise stated.

9. Payment

9.1 Unless otherwise agreed in writing:

Payment is due within 5 days of invoice (for residential jobs), or by the 20th of the following month (for commercial jobs).

Deposits, where required, are non-refundable unless we are at fault.

Payments must be made in full, without deduction or set-off.

If your creditworthiness declines (at our discretion), we may demand full or partial upfront payment before continuing.

10. Termination

10.1 If you breach these Terms or face insolvency or liquidation, we may:

Delay, suspend, or cancel our Services

Demand immediate payment of all outstanding amounts

Charge default interest at 22% per annum until full payment is received

Recover all legal and collection costs incurred

11. Consumer Guarantees Act

11.1 If Services are supplied for business purposes, the Consumer Guarantees Act 1993 and certain provisions of the Fair Trading Act 1986 will not apply.

12. Warranties

12.1 Except as required by law, all express or implied warranties (including fitness for purpose) are excluded.

13. Privacy

13.1 You agree that we may use your personal information for business purposes such as debt collection, credit checks, and marketing. Information may be shared with third parties for these purposes. You have the right to access your personal information in accordance with the Privacy Act 1993.

14. Electronic Communications

14.1 By engaging our Services, you consent to receiving occasional commercial emails from us. You can unsubscribe at any time by emailing frogshousewashing2023@gmail.com

15. Health & Safety

15.1 Both parties agree to comply with the Health and Safety at Work Act 2015.
15.2 If the Premises are commercial, you agree to:

• Inform us of any hazards we need to know about
• Provide your health and safety plan on request
• Indemnify us against any costs or losses caused by your failure to meet health and safety obligations

16. General

16.1 Time is of the essence for your obligations.
16.2 Our rights under these Terms are enforceable even if not enforced earlier.
16.3 Notices must be given in line with the Personal Property Securities Act 1999.
16.4 You may not assign your rights under these Terms, but we may.
16.5 These Terms are governed by New Zealand law.
16.6 If any part of these Terms is found unenforceable, the rest remains in effect.
16.7 These Terms, together with our quote, form the entire agreement between us.
